Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of Adone’s websites, applications, and related services (collectively, the “Services”) operated by Adone (“Adone”, “we”, “us”, or “our”). By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

1. The Services

Adone provides software tools to help businesses research, create, manage, and launch paid advertising creative and campaigns. Features may include AI-assisted generation, account analysis, workflow tooling, and related dashboards. We may update, improve, or discontinue features from time to time.

2. Accounts

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. Notify us promptly at support@adone.io if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose risk to the Services or other users.

3. Acceptable use

You agree not to:

  • use the Services for unlawful, deceptive, or harmful advertising or content;
  • infringe intellectual property, privacy, or other rights of third parties;
  • attempt to reverse engineer, disrupt, or overload the Services;
  • bypass rate limits, access controls, or security measures;
  • upload malware or scrape the Services in a way that harms performance or security;
  • use the Services to create or distribute ads that violate Meta, Google, TikTok, or other platform policies applicable to your campaigns.

4. Your content and customer data

You retain ownership of content, product assets, brand materials, and account data you submit (“Customer Content”). You grant Adone a worldwide, non-exclusive license to host, process, display, and use Customer Content solely to provide and improve the Services, and as otherwise described in our Privacy Policy. You represent that you have all rights needed to submit Customer Content and to run related advertising.

5. AI outputs

AI-generated suggestions, creatives, copy, and recommendations are provided for assistance only. You remain responsible for reviewing outputs before publishing or spending, and for compliance with advertising laws and platform rules. Outputs may be inaccurate or similar to content generated for others. Adone does not guarantee unique or error-free results.

6. Third-party platforms

The Services may integrate with third-party platforms (for example Meta, Google, Shopify, or Slack). Your use of those platforms is governed by their terms. Adone is not responsible for third-party outages, policy changes, account bans, or data handling by those providers.

7. Fees and billing

Paid plans are billed according to the pricing shown at purchase or in your order form. Unless otherwise stated, fees are non-refundable. Taxes may apply. We may change pricing with notice for subsequent billing periods. Failure to pay may result in suspension.

8. Intellectual property

The Services, including software, branding, and documentation, are owned by Adone or its licensors. Except for the limited rights granted to use the Services, no IP rights are transferred to you.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only for purposes related to the Services, except where disclosure is required by law.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADONE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT SPECIFIC AD PERFORMANCE, ROAS, OR BUSINESS OUTCOMES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADONE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. ADONE’S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO ADONE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Indemnity

You will defend and indemnify Adone against claims arising from your Customer Content, your ads or campaigns, your violation of these Terms, or your violation of law or third-party rights.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or non-payment. Upon termination, your right to use the Services ends. Provisions that by nature should survive will survive.

14. Changes

We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes become effective constitutes acceptance.

15. Governing law

These Terms are governed by the laws applicable to Adone’s principal place of business, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise.
